Effective Date: May 1, 2026. These Terms & Conditions govern your access to and use of the FactoryTrace manufacturing traceability platform, APIs, and related services provided by FactoryTrace Technologies Pvt. Ltd. ("FactoryTrace", "we", "us", or "our"). FactoryTrace enables manufacturers to track products, components, and materials across the entire supply chain — from raw material intake to finished goods dispatch. By accessing or using our services, you agree to be bound by these terms.
1. Acceptance of Terms
By accessing, installing, or using any FactoryTrace software, platform, or service (collectively, the "Service"), you ("Customer", "User", or "you") confirm that you have read, understood, and agree to be legally bound by these Terms & Conditions and our Privacy Policy.
If you are entering into these terms on behalf of a company or organization, you represent and warrant that you have the legal authority to bind that entity. If you do not agree to these terms, you must not access or use the Service.
2. Description of Services
FactoryTrace provides an end-to-end manufacturing traceability platform that enables businesses to track every product, component, batch, and material across the full supply chain lifecycle. Our services include, but are not limited to:
- Raw material and component intake tracking with batch/lot number assignment
- Work-in-progress (WIP) tracking across production stages and workstations
- Finished goods serialisation and barcode/QR code/RFID label generation
- Forward and backward traceability — from raw material to end customer and back
- Defect detection, non-conformance logging, and root cause analysis tools
- Quality control checkpoints, inspection records, and test result management
- Inventory management with real-time stock visibility across warehouses and production floors
- Product recall management — rapidly identify and isolate affected batches
- Regulatory compliance documentation for standards such as ISO 9001, BIS, GMP, FSSAI, and others
- ERP, MES, and third-party system integration via REST APIs and webhooks
- Reporting and analytics dashboards for yield, rejection rates, and supply chain performance
The Service is provided on a subscription basis as agreed in your purchase order, proposal, or service agreement. Feature availability may vary by plan and industry configuration.
3. License Grant
Subject to your compliance with these terms and timely payment of applicable fees, FactoryTrace grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal manufacturing and supply chain operations, limited to the number of users, production lines, and facilities specified in your subscription plan.
This license does not include the right to:
- Sublicense, sell, resell, or transfer the Service to any third party
- Modify, copy, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble any component of the Service
- Access the Service for competitive benchmarking or to build a competing product
- Remove or obscure any proprietary notices or labels on the Service
4. Restrictions on Use
You must not use the Service for any of the following purposes:
- Entering false, fabricated, or misleading traceability data, batch records, or quality inspection results into the platform
- Using the platform to falsify regulatory compliance records, certifications, or audit trails
- Building or training competing AI or traceability models using data extracted from the FactoryTrace platform without prior written consent
- Attempting to gain unauthorized access to FactoryTrace systems, infrastructure, or other customer accounts
- Sharing login credentials across multiple users or facilities beyond your licensed user count
- Transmitting malicious code, spam, or content that is illegal, harmful, or offensive through the platform
- Exceeding the production lines, facilities, or user limits specified in your subscription without prior authorization
- Using the Service in a manner that violates applicable product safety, labelling, or industry-specific regulations
You are solely responsible for ensuring that your use of the Service complies with all applicable laws, including but not limited to the Information Technology Act, 2000 (India), the Legal Metrology Act, the Bureau of Indian Standards Act, applicable food safety regulations (FSSAI), pharmaceutical GMP requirements, and any other industry-specific data and quality regulations.
5. Data & Privacy
FactoryTrace processes manufacturing and supply chain data on your behalf, including product records, batch information, quality inspection results, and operational metadata. As the data controller, you are responsible for:
- Ensuring the accuracy and integrity of all traceability data entered into the platform by your team
- Maintaining appropriate internal access controls to prevent unauthorised modification of production or quality records
- Complying with any industry-specific data retention requirements mandated by regulators or customers
- Ensuring that any personal data of employees entered into the platform (e.g., operator IDs, inspection sign-offs) is handled in accordance with applicable data protection laws
FactoryTrace acts as a data processor for manufacturing data stored on our platform and will process it only as directed by you and in accordance with our Privacy Policy and any applicable Data Processing Agreement.
Data Retention
Traceability records, batch logs, quality inspection data, and production history are retained in accordance with your configured retention settings and applicable regulatory requirements. FactoryTrace recommends maintaining traceability records for a minimum period consistent with your industry's regulatory obligations (e.g., 2 years for FSSAI-regulated products, 5 years for medical devices). We will not delete your data during the active subscription period without explicit instruction from you.
6. Traceability Data & Processing
By using the FactoryTrace platform, you submit manufacturing data including batch records, serial numbers, component genealogy, quality test results, and supply chain events. You grant FactoryTrace the right to process this data solely for the purpose of delivering the traceability, analytics, and compliance features included in your subscription.
FactoryTrace does not:
- Sell, share, or monetise your manufacturing data, product records, or supply chain information with third parties
- Use your proprietary production data to train its AI or analytics models without your explicit written consent
- Disclose your traceability data to regulators, auditors, or law enforcement without a valid legal order, except as required by applicable law
- Modify, alter, or delete traceability records without your authorisation, except as part of platform maintenance under agreed procedures
Important: The accuracy of traceability records depends entirely on the data entered by your operators and systems. FactoryTrace is a platform for recording and managing traceability — it does not independently verify the physical accuracy of production data. You remain responsible for the authenticity and correctness of all records submitted through the Service.
7. Payment & Billing
Subscription fees are as set out in your purchase agreement or official proposal. All fees are exclusive of applicable taxes (including GST) unless otherwise stated.
- Annual subscriptions are payable in advance upon invoice
- Monthly plans are billed on the same date each month
- Overdue invoices may result in suspension of the Service after 15 days' written notice
- Fees are non-refundable except as expressly stated in writing or required by law
FactoryTrace reserves the right to revise subscription pricing upon 30 days' written notice prior to renewal. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.
8. Intellectual Property
The Service, including all software, algorithms, AI models, user interfaces, documentation, and content created by FactoryTrace, is the exclusive intellectual property of FactoryTrace Technologies Pvt. Ltd. and is protected by Indian and international copyright, patent, trademark, and trade secret laws.
Nothing in these terms transfers any ownership of FactoryTrace intellectual property to you. Any feedback, suggestions, or improvements you provide regarding the Service may be used by FactoryTrace without restriction or compensation.
9. Disclaimers & Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
FactoryTrace does not warrant that:
- The Service will be uninterrupted, error-free, or completely secure at all times
- Traceability records generated through the platform will satisfy all regulatory requirements in every jurisdiction without additional documentation
- The platform will prevent all instances of data entry error, product mislabelling, or supply chain fraud
- Integration with third-party ERP, MES, or warehouse management systems will be free of compatibility issues in all environments
- Reports and analytics produced by the platform will be accepted as standalone legal or regulatory evidence in all jurisdictions without supplementary audit documentation
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FACTORYTRACE TECHNOLOGIES PVT. LTD. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY.
FACTORYTRACE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Termination
Either party may terminate the Service subscription at the end of the current subscription period by providing 30 days' written notice.
FactoryTrace may suspend or terminate your access immediately and without prior notice if you:
- Materially breach these terms and fail to cure the breach within 10 days of written notice
- Use the Service for illegal or unauthorized purposes
- Fail to pay fees after the applicable grace period
Upon termination, your right to access the Service ceases immediately. FactoryTrace will retain your data for 30 days post-termination to allow export, after which it will be deleted in accordance with our data retention policy.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation.
If the dispute cannot be resolved within 30 days of written notice, both parties agree to submit to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.
